Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and EmergeX Studios ("EmergeX," "we," "us," or "our"), governing your access to and use of our website, products, and services.
By placing an order, making a payment, accessing our Discord server, downloading any product, or otherwise engaging with EmergeX Studios in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms.
You represent that you are at least 13 years of age and have the legal authority to enter into this agreement. If you are purchasing on behalf of a FiveM server organization or community, you represent that you have the authority to bind that organization to these Terms.
Services
EmergeX Studios specializes in the design, development, and sale of custom digital vehicle assets for use within the FiveM multiplayer modification framework for Grand Theft Auto V. Our services include, but are not limited to:
All services are provided for use exclusively within the FiveM platform. EmergeX Studios does not provide support for use of our assets in any other game modification framework or platform.
Orders & Payment
All orders are placed through our official ordering channels (Discord server or website). Orders are not considered confirmed until payment has been received and an explicit order confirmation has been issued by EmergeX Studios staff.
Full payment is required upfront for all catalog and semi-custom orders. For fully custom commissions, a non-refundable deposit of 50% is required before work begins, with the remaining balance due upon delivery of the final product.
- Prices are listed in USD and are subject to change without notice. The price displayed at the time of your order is final for that transaction.
- Accepted payment methods include PayPal, Cash App, and other methods as listed at time of purchase. Chargebacks or payment disputes that are determined to be fraudulent will result in a permanent ban from EmergeX services.
- EmergeX Studios reserves the right to refuse or cancel any order at our sole discretion, including for reasons of suspected fraud, resale intent, or violation of these Terms.
- Sales tax may be applicable depending on your jurisdiction. You are solely responsible for any applicable taxes on your purchase.
- Promotional pricing and discount codes are single-use, non-transferable, and cannot be applied retroactively to prior orders.
Refunds & Returns
Due to the digital nature of our products, all sales are considered final once a product file has been delivered to the client. EmergeX Studios does not offer refunds, exchanges, or credits for delivered digital goods except in the limited circumstances described below.
Once a vehicle file, pack, or any digital asset has been delivered — including via Discord DM, file-sharing link, or any other method — the sale is final and no refund will be issued regardless of circumstances.
Refunds may be considered exclusively in the following circumstances:
- Payment was made but a product was never delivered within the agreed timeframe and EmergeX Studios cannot complete the order.
- The delivered product contains a critical, irreparable defect that was not present in any agreed-upon preview and that EmergeX is unable or unwilling to fix.
- A duplicate charge occurred due to a payment processing error on our end.
Refund requests must be submitted within 72 hours of the issue arising, with supporting evidence, via our official Discord support channel. All refund decisions are made at the sole discretion of EmergeX Studios management.
Because all delivered digital goods are final and non-refundable, any attempt to reverse payment after delivery is treated as an act of fraud and a material breach of these Terms. Threatening to initiate, initiating, or filing a chargeback, payment dispute, or reversal with your payment provider or bank after a product has been delivered will result in the immediate and permanent termination of your license and a permanent ban from all EmergeX Studios products, services, and community spaces, including our Discord server. You forfeit all rights to any previously delivered assets, and EmergeX Studios reserves the right to contest the dispute with evidence of delivery, recover the disputed amount and any associated processing fees, and pursue a DMCA takedown for any continued use of the revoked assets.
License & Usage Rights
Upon full payment and delivery, EmergeX Studios grants you a limited, non-exclusive, non-transferable license to use the purchased digital asset(s) subject to the restrictions set forth in these Terms.
This license is personal to the purchasing entity (individual or server). Transfers to another person, server, or organization require explicit written consent from EmergeX Studios and may be subject to a transfer fee.
If you purchased a vehicle for Server A and wish to use the same file on Server B (under different ownership), you must contact us to arrange a transfer. Unauthorized cross-server use violates your license and these Terms.
Intellectual Property
All vehicle models, textures, liveries, and associated creative work produced by EmergeX Studios remain the exclusive intellectual property of EmergeX Studios and its artists, regardless of whether the asset was created as a custom commission or catalog product.
Your purchase grants you a usage license as described in Section 05 — it does not transfer ownership, copyright, or any intellectual property rights to you. EmergeX Studios retains the right to use any work produced as portfolio material, promotional content, or as a basis for future catalog products, unless explicitly agreed otherwise in a separate written commission agreement.
Where a custom commission is based on a client-supplied reference, livery design, or logo, the client warrants that they have the rights to such materials. EmergeX Studios assumes no liability for intellectual property claims arising from client-supplied assets.
Prohibited Conduct
The following actions are strictly prohibited and will result in immediate termination of your license, a permanent ban from EmergeX Studios services, and may result in legal action:
- Leaking, sharing, or distributing any EmergeX product file to individuals or communities who have not purchased a valid license.
- Reselling EmergeX products as your own or through third-party marketplaces without explicit written authorization.
- Reverse-engineering, decompiling, or attempting to extract raw model data beyond what is provided in the standard deliverable.
- Submitting fraudulent chargebacks, payment disputes, or false claims about product delivery to payment processors.
- Impersonating EmergeX Studios staff or claiming false affiliation with EmergeX Studios.
- Harassing, threatening, or engaging in abusive conduct toward EmergeX Studios staff or other clients.
- Circumventing any technological measure EmergeX employs to protect its digital assets.
EmergeX Studios actively monitors FiveM communities and asset repositories for unauthorized distribution. Confirmed leakers will be subject to a DMCA takedown and may be pursued for damages under applicable copyright law.
Delivery
Delivery timeframes vary by product type and are communicated at the time of order. Catalog products are typically delivered within 24–72 hours of confirmed payment. Custom commissions are delivered according to the timeline agreed upon during the order consultation.
- Delivery is made exclusively through our official channels (Discord DM from verified EmergeX staff, or a secure download link). EmergeX Studios is not responsible for files delivered to incorrect accounts due to client error.
- Delivery timeframes are estimates and not guarantees. EmergeX Studios is not liable for delays caused by exceptional circumstances, workload, or factors outside our control.
- If a custom order cannot be completed within a reasonable period due to our inability (not client changes), a full refund of any amounts paid will be issued.
- Clients are responsible for downloading and backing up delivered files promptly. EmergeX Studios is not obligated to provide re-delivery indefinitely and reserves the right to charge a nominal re-delivery fee after 30 days.
Support & Updates
EmergeX Studios provides reasonable post-delivery support for product defects discovered within 14 days of delivery. Support is provided via our Discord server during staff availability hours.
Custom orders include up to two (2) rounds of minor revisions at no additional charge, provided revision requests are made within 7 days of initial delivery. Revisions beyond this scope, major reworks, or late-stage specification changes are subject to additional fees quoted at that time.
- Support covers technical issues with the delivered file (e.g., broken textures, configuration errors). It does not cover FiveM server configuration, resource management, or issues caused by client-side modifications.
- Major FiveM updates that break compatibility with delivered assets may be addressed as part of a paid update service at EmergeX's discretion.
- EmergeX Studios makes no guarantee of perpetual compatibility with future versions of FiveM, GTA V, or related software.
Limitation of Liability
To the maximum extent permitted by applicable law, EmergeX Studios, its owners, artists, and staff shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our products or services.
EmergeX Studios' total aggregate liability to you for any claim arising under these Terms shall not exceed the total amount you paid for the specific product or service giving rise to the claim.
Our products are provided "as is" and "as available." EmergeX Studios makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, beyond what is explicitly stated in these Terms.
You acknowledge that FiveM is a third-party platform and that EmergeX Studios has no control over its availability, policies, or technical changes. We are not liable for losses arising from FiveM platform decisions, bans, or policy changes affecting the use of our products.
Disputes
If you have a dispute with EmergeX Studios, we encourage you to contact us first through our official Discord support channel so we can attempt to resolve the matter informally.
These Terms shall be governed by and construed in accordance with the laws of the United States. Any unresolved disputes shall be subject to binding arbitration rather than litigation, except where arbitration is prohibited by law. You waive any right to participate in a class-action lawsuit or class-wide arbitration against EmergeX Studios.
Filing a fraudulent chargeback or payment dispute with your payment provider, rather than attempting resolution directly with us, is a violation of these Terms and may result in permanent account suspension.
Changes to Terms
EmergeX Studios reserves the right to update or modify these Terms of Service at any time. When changes are made, we will update the "Effective Date" at the top of this document and, where material changes are involved, announce them via our Discord server.
Your continued use of our services or products after such changes take effect constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically. If you do not agree with the updated Terms, you must discontinue use of our services.
